Terms of Service

These Terms of Service (“Terms”) govern the relationship between you (“Client”, “you”, or “your”) and CabinetLaunch (“Company”, “we”, “us”, or “our”) regarding our provision of website development, hosting, maintenance, and Google Ads management services.

By signing a service agreement or using our services, you agree to be bound by these Terms.

1. Services Provided

CabinetLaunch provides:

  • Design, development, and maintenance of eCommerce websites for cabinet businesses

  • Google Ads account setup, management, and optimization

  • Hosting, monitoring, and security for client websites

All services are subject to a separate scope of work (SOW) or proposal agreed upon in writing.

2. Term & Renewal

All service agreements are subject to a minimum two (2) year commitment. After the initial term, the agreement will automatically renew for additional one (1) year terms unless either party provides written notice of non-renewal at least 30 days prior to the renewal date.

3. Payment Terms

  • Payments must be made in accordance with the payment schedule outlined in the service agreement or invoice.

  • Late payments beyond 60 days from the due date will result in immediate suspension or termination of website services, including removal of the live website from public access.

  • We reserve the right to charge interest on late payments.

  • Reinstatement of services after shutdown due to nonpayment may require a reactivation fee.

4. Bad Faith Use

If CabinetLaunch determines, at its sole discretion, that your website or advertising is being used in bad faith, including but not limited to:

  • Fraudulent activity

  • Deceptive advertising

  • Trademark or copyright infringement

  • Activities violating applicable laws or regulations

  • Intentionally diverting sales in a way that undermines agreed-upon percentage-based arrangements

We reserve the right to immediately terminate or suspend your website and all related services without prior notice.

5. Ownership & License

  • You retain ownership of your business data, product listings, and supplied content.

  • CabinetLaunch retains ownership of proprietary code, backend systems, templates, and advertising methodologies.

  • You are granted a non-transferable, non-exclusive license to use the website and services for the duration of your contract.

6. Cancellations & Termination

  • Early termination by the Client within the initial 2-year term will result in full payment of the remaining contract value becoming immediately due.

  • After the initial term, cancellation requires 30 days’ written notice prior to the annual renewal.

  • We may terminate this agreement immediately for cause (including breach of terms, bad faith use, or non-payment).

7. Limitation of Liability

To the maximum extent permitted by law, CabinetLaunch is not liable for any indirect, incidental, or consequential damages, including lost revenue, business interruption, or data loss. Our total liability for any claim related to services is limited to the amount paid by you in the preceding 6 months.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive business information disclosed during the course of this agreement, except as required by law.

9. Amendments

We may update these Terms from time to time. You will be notified of any material changes, and continued use of our services constitutes acceptance of those changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada without regard to its conflict of laws principles.
